1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "User") and Telemetry Platform LLC ("Telemetry," "Company," "we," "us," or "our"). The Terms govern your access to and use of the Telemetry Platform, including our website located at https://telemetrydata.ai, associated web applications, browser extensions, APIs, dashboards, and any related software, documentation, and services (collectively, the "Service").

By accessing or using the Service, you affirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree, you may not access or use the Service.

2. Description of the Service

Telemetry provides a real-time control and analytics platform designed to help online sellers, merchants, developers, and enterprise customers manage, monitor, and secure multi-channel commerce activity across traditional e‑commerce platforms, advertising networks, payment processors, and AI-driven purchasing agents.

The Service may include, without limitation:

* Unified sales and transaction monitoring
* Fraud detection, anomaly detection, and security tooling
* Integrations with third-party platforms, APIs, and AI systems
* Browser extensions, developer tools, and dashboards
* Data visualization, reporting, and operational controls

Telemetry does not act as a marketplace, payment processor, merchant of record, escrow agent, or financial institution.

3. Eligibility and Authority

You must be at least eighteen (18) years old and have the legal capacity to enter into a binding agreement to use the Service. If you use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Account Registration and Security

Certain features of the Service require account registration. You agree to provide accurate, current, and complete information and to keep such information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

Telemetry is not responsible for any loss or damage arising from unauthorized access to your account resulting from your failure to safeguard credentials.

5. Acceptable Use and Restrictions

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not, directly or indirectly:

* Violate any applicable law, regulation, or third-party rights
* Attempt to gain unauthorized access to systems, networks, or data
* Interfere with or disrupt the integrity or performance of the Service
* Circumvent security, rate limits, or access controls
* Introduce malware, malicious code, or automated abuse
* Scrape, harvest, or reverse engineer the Service except as expressly permitted by law
* Use the Service to facilitate fraud, deception, or unlawful commerce

Telemetry reserves the right to investigate and take appropriate action, including suspension or termination, for violations of this section.

6. User Data and Content

You retain all rights to data, content, and information you submit to or process through the Service ("User Data"). You grant Telemetry a limited, non-exclusive, worldwide license to host, process, transmit, and analyze User Data solely to provide, secure, and improve the Service, and as otherwise permitted by law and our Privacy Policy.

Telemetry does not claim ownership of User Data and does not sell User Data except as disclosed in the Privacy Policy.

7. Privacy and Security

Telemetry maintains administrative, technical, and organizational safeguards designed to protect data processed through the Service. Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and disclose information.

You acknowledge that no system is completely secure and that Telemetry does not guarantee absolute security.

8. Intellectual Property Rights

All intellectual property rights in the Service, including software, code, algorithms, interfaces, designs, trademarks, logos, and documentation, are owned by or licensed to Telemetry and are protected by U.S. and international laws.

Except for the limited rights expressly granted herein, no rights are conveyed to you, and all rights are reserved.

9. Third-Party Services and Integrations

The Service may interoperate with third-party platforms, services, APIs, or AI systems ("Third-Party Services"). Telemetry does not control and is not responsible for Third-Party Services, their availability, accuracy, security, or practices.

Your use of Third-Party Services is governed solely by their respective terms and policies.

10. Suspension and Termination

Telemetry may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, pose a security or legal risk, or misuse the Service.

Upon termination, your right to access the Service will immediately cease. Sections that by their nature should survive termination shall survive.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELEMETRY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON‑INFRINGEMENT, AND AVAILABILITY.

Telemetry does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TELEMETRY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Telemetry’s total aggregate liability for any claim shall not exceed the amount paid by you to Telemetry in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Telemetry and its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. You agree that any legal action shall be brought exclusively in the state or federal courts located within New York.

15. Modifications to the Terms

Telemetry may modify these Terms at any time. Updated Terms will be posted on the Site with a revised effective date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

16. General Provisions

These Terms constitute the entire agreement between you and Telemetry regarding the Service and supersede all prior agreements or understandings. If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

No waiver of any provision shall be deemed a continuing waiver.

17. Geographic Restrictions

The Service is not available to users located in or accessing from the following countries and regions: Iran, North Korea, Cuba, Syria, Crimea, Donetsk, and Luhansk regions of Ukraine, Russia, Belarus, Venezuela, Afghanistan, Myanmar (Burma), Nicaragua, Sudan, South Sudan, and China PRC (companies on the Military End-User or Prohibited Entity List).
